Terms of Service

Welcome to Nudge. These Terms of Service ("Terms") govern your access to and use of the Nudge mobile application, our website at nudgedating.app, and any related services we offer (collectively, the "Service"). The Service is operated by Nudge Dating LLC ("Nudge," "we," "us," or "our").

By creating an account or using the Service, you agree to be bound by these Terms and by our Privacy Policy. If you do not agree, do not use the Service.

1. Eligibility

To use Nudge, you must:

• Be at least 18 years old;
• Have the legal capacity to enter into a binding contract;
• Not be prohibited from using the Service under any applicable law;
• Not be a registered sex offender or have been convicted of a felony involving violence or sexual misconduct; and
• Not have previously had your account terminated by us.

By using the Service you represent and warrant that all of the above is true. We may verify any of the above at our discretion.

2. Your Account

You will need to create an account to use most features of the Service. You agree to:

• Provide accurate, current, and complete information;
• Use only one personal account, and not let anyone else use yours;
• Keep your login credentials confidential;
• Be responsible for all activity that occurs under your account; and
• Notify us immediately if you suspect unauthorized use of your account.

We may suspend, restrict, or terminate your account at any time, with or without notice, if we believe you have violated these Terms or pose a risk to other members or to us.

3. Your Content

"Your Content" means anything you submit, upload, or display on the Service — including your profile photo, video, name, voice, location, prompts, ratings, feedback, and any other material you provide.

3.1 Ownership

You retain ownership of Your Content. You are solely responsible for it.

3.2 License to Us

By submitting Your Content, you grant Nudge a worldwide, non-exclusive, royalty-free, sublicensable, transferable license to host, store, copy, reproduce, modify (e.g., reformat or transcode), display, and distribute Your Content for the purpose of operating, providing, and improving the Service. This license ends when you delete Your Content or your account, except (a) to the extent we need to retain it to comply with law, resolve disputes, or enforce these Terms, and (b) for material that has been shared with other members and that they have copied or saved.

3.3 Representations

You represent that Your Content is your own (or you have permission to use it), that it accurately depicts you, that it does not violate any law, and that it does not infringe anyone's rights.

3.4 Content Standards

You may not submit Content that:

• Is unlawful, harassing, threatening, abusive, defamatory, fraudulent, hateful, or sexually explicit;
• Depicts minors in any context, or impersonates another person;
• Contains nudity, violence, or graphic imagery;
• Promotes commercial products, solicits money, or contains spam or phishing material;
• Discloses someone else's private information without their consent;
• Includes contact information (phone numbers, social handles, email addresses) intended to move conversations off Nudge before a dinner takes place; or
• Infringes any copyright, trademark, or other proprietary right.

4. How Nudge Works

Nudge is a logistics layer for in-person dating. There is intentionally no in-app messaging, voice, or video chat. The Service connects you with other members through:

• The feed. A swipeable list of short profile videos.
• Mutual matches. When two members "like" each other, they become a match.
• Dinner pairings. When you express interest in a dinner event, we may pair you with a mutual match for that event. The other person must also confirm.
• Curated tables. If we cannot find you a one-to-one match, we may invite you to a curated group dinner.
• Post-dinner ratings. After dinner, you privately tell us whether you'd like to share numbers with each table-mate. If two members both opt in, we share numbers with each other only.

Nudge does not promise that you will be matched, that any match will lead to a dinner, that any dinner will be enjoyable, or that you will form any kind of relationship.

5. Conduct in the Real World

When you confirm a Nudge dinner, you are committing to attend a real-world event with real people. You agree to:

• Show up. If you cannot attend, cancel through the app as early as possible. Late cancellations and no-shows affect other members.
• Treat people with respect. Harassment, discrimination, intoxication that meaningfully disrupts the meal, threats, or any unlawful conduct will result in account action.
• Be the person in your profile. Don't catfish.
• Respect privacy. Anything shared at dinner should stay between you and the people at the table unless they consent otherwise.

5.1 Reliability Strikes and Account Restrictions

To protect the experience for other members, we operate a strike system for cancellations and no-shows. The current rules are described in the app's Cancellation Policy and may include temporary account pauses or permanent removal from the Service. We may adjust the system from time to time.

6. Reporting and Moderation

If another member behaves inappropriately — in the app, at a dinner, or afterwards — please use the in-app report feature or email support@nudgedating.app. We review reports and may, at our discretion, warn the member, remove their content, restrict their account, or terminate it. We do not promise any particular outcome and we are not a law-enforcement body. If you are in immediate danger, contact local emergency services.

7. Privacy and Data

Our Privacy Policy explains what we collect, how we use it, and your rights. By using the Service you consent to the collection and use of your information as described there.

8. Subscriptions, Fees, and Refunds

Nudge is currently free to use. If we introduce paid features in the future, we will present the price and terms at point of sale, and any applicable refund policy will be described there. Payments processed by Apple's App Store or Google Play are subject to their respective terms.

9. Intellectual Property

The Service, the Nudge name, logos, designs, code, and any content we provide (other than user-submitted Content) are owned by Nudge or our licensors and are protected by copyright, trademark, and other laws. We grant you a limited, personal, non-exclusive, non-transferable, revocable license to use the Service for its intended purpose. You may not copy, modify, reverse engineer, scrape, or create derivative works of the Service except as expressly permitted by law.

10. Disclaimers

The Service is provided "as is" and "as available." To the maximum extent permitted by law, Nudge disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranties arising from a course of dealing or usage of trade.

We do not conduct background checks. Nudge does not verify the identity, criminal history, or character of any member. You are solely responsible for your interactions with other members. Use common sense and basic safety practices: tell a friend where you're going, meet in a public place, and trust your gut.

We do not guarantee uptime, error-free operation, or that any defect will be corrected.

11. Limitation of Liability

To the maximum extent permitted by law, in no event will Nudge or its officers, directors, employees, or agents be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising out of or in connection with the Service, even if advised of the possibility of such damages.

Our total aggregate liability to you for any claim arising out of or relating to these Terms or the Service is limited to the greater of (a) the amount you paid Nudge in the twelve (12) months before the claim, or (b) one hundred U.S. dollars ($100).

12. Indemnification

You agree to indemnify and hold harmless Nudge and its affiliates from any claim, demand, loss, liability, or expense (including reasonable attorneys' fees) arising out of or related to (a) your use of the Service, (b) your Content, (c) your interactions with other members, or (d) your violation of these Terms or any law.

13. Termination

You may close your account at any time from within the app. We may suspend or terminate your access at any time for any reason, including a violation of these Terms or a risk to the community. Sections that by their nature should survive termination — including 3.2 (License), 9 (IP), 10 (Disclaimers), 11 (Limitation of Liability), 12 (Indemnification), 14 (Governing Law and Dispute Resolution), and this Section 13 — will survive.

14. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws principles.

Informal resolution first. If you have a dispute with us, please email support@nudgedating.app first. Most disputes can be resolved this way.

Binding arbitration. If we cannot resolve a dispute informally, you and Nudge agree that any dispute arising out of or relating to these Terms or the Service will be resolved by final and binding arbitration on an individual basis, administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules. The arbitration will be held in Los Angeles County, California or, at your election, by phone or video. Judgment on the award may be entered in any court of competent jurisdiction.

Class-action waiver. You and Nudge waive any right to bring or participate in any class, collective, or representative action.

30-day opt-out. You may opt out of arbitration and the class-action waiver by emailing support@nudgedating.app within 30 days of first accepting these Terms, with the subject "Arbitration Opt-Out" and your account email.

Notwithstanding the above, either party may bring a small-claims action in a court of competent jurisdiction, and either party may seek injunctive relief in court for intellectual-property infringement.

15. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will notify you in the app or by email and update the "Last updated" date above. Your continued use of the Service after the effective date constitutes acceptance of the revised Terms.

16. Apple-Specific Terms

If you use the Service on an Apple device, you acknowledge that these Terms are between you and Nudge only — not Apple. Apple is not responsible for the Service or its content. In the event of any failure to conform to applicable warranty, you may notify Apple, and Apple will refund the purchase price (if any). To the maximum extent permitted by law, Apple has no other warranty obligation. Apple is a third-party beneficiary of these Terms with the right to enforce them.

17. Miscellaneous

These Terms, together with our Privacy Policy, are the entire agreement between you and Nudge concerning the Service. If any provision is held unenforceable, the rest will remain in effect. Our failure to enforce any provision is not a waiver. You may not assign these Terms; we may.
